Made by the same people. Both have the same characters and general premise of fighting an big animal terrorizing small animals using war vehicles. Umi no Momotarou is much shorter and doesn't spend as much time on the setup as it assumes you have seen Sora no Momotarou.
Both black and white short films stray away from the original story of Momotaro. In Sora no Momotarou, Momotaro, the monkey, the dog and the pheasant aboard a plane fought a wild eagle in the skies. While in Umi no Momotarou, they, aboard a submarine, fought a shark under the sea sans the pheasant.
