Half the staff list, that's the similarity. Hence the same aestheticism, surrealism, mixture of reality and fairy-tale... Main characters are also pretty similar, and some images and devices from Utena have been reused in MoO. Only MoO has much more parody and fanservice elements, but still it's a must-see for Utena fans.
Forion's recommendation is entirely accurate - any Utena fan will most certainly notice the audiovisual similarities in directing. On top of that, there's an arc (E03-E05) that gives off a Black Rose vibe, in my opinion the pinnacle of Melody of Oblivion.
It should be explicitly noted that this is where similarties end. Watch without expecting much character development, decent execution of the premise or a satisfactory conclusion.
